These Terms & Conditions ("Terms") govern your access to and use of the InstaStudio website, services, and applications (collectively, the "Service"), provided by Manifest Solutions L.L.C-FZ, United Arab Emirates ("InstaStudio", "we", "us", or "our"). By creating an account, signing in, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

InstaStudio is an AI-assisted creative studio that generates images and short videos from prompts and reference materials you provide. The Service uses third-party generative AI models. The features, models, prices, and behaviour of the Service may change over time.

2. Service Provided "As Is" — No Guarantees

THE SERVICE AND ALL OUTPUTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OR GUARANTEES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE EXPRESSLY DISCLAIM ALL WARRANTIES INCLUDING WITHOUT LIMITATION MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, COMPLETENESS, AND THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR- FREE, OR SECURE.

We make no guarantee about the quality, accuracy, originality, suitability, legality, or commercial usefulness of any image, video, or other output produced by the Service. You are solely responsible for evaluating each output before relying on, using, publishing, or distributing it.

3. AI Limitations and Your Responsibility

The Service uses generative AI, which is probabilistic. Outputs may contain errors, inaccuracies, distortions, hallucinated details, biased content, factual mistakes, mismatched brand attributes, or unintended likenesses. The same prompt may produce different results on different runs.

Before publishing, sharing, or commercially using any output, you must review it for accuracy, brand fit, intellectual property, and any rights of third parties depicted. Wrong, unsatisfactory, or unusable AI outputs are not grounds for a refund (see Section 6).

4. Account and Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service. You agree to provide accurate registration information, keep your credentials confidential, enable available account-security features, and promptly notify us of any unauthorised use. You are responsible for all activity that occurs under your account.

5. Acceptable Use

You agree not to use the Service to:

• create content that is illegal, defamatory, obscene, sexually explicit involving minors, hateful, harassing, threatening, or that incites violence;
• create content that infringes the intellectual property, privacy, publicity, or other rights of any person or entity;
• impersonate any person, brand, or public figure, or generate misleading deepfakes;
• misrepresent the source, authorship, or authenticity of generated content;
• circumvent or attempt to circumvent the Service's safeguards, rate limits, or access controls;
• reverse-engineer, scrape, automate, or use the Service to develop a competing product;
• upload viruses, malware, or otherwise interfere with the Service or its users.

We may suspend or terminate accounts that violate these rules, remove offending content, and report unlawful activity to authorities, without refund.

6. Wallet, Credits, and Payment

6.1 Top-ups

The Service operates on a prepaid wallet model. You add credit to your wallet (a "top-up") via supported payment methods, and generations are charged against the wallet at the prices shown at the time of submission. All amounts are denominated in Saudi Riyals (SAR) unless stated otherwise. Payment processing is performed by our payment partner; full card numbers are not stored by us.

6.2 Credits Are Non-Refundable

All credits added to your wallet are final and non- refundable. Once credit has been successfully added, the corresponding amount cannot be refunded, exchanged for cash, transferred to another user, or redeemed outside the Service. This includes credits that remain unused.

6.3 Promotional Credits Are Non-Refundable

Any credit issued as a promotion, welcome gift, goodwill gesture, contest prize, or marketing offer is also non-refundable and has no cash value. Promotional credits may carry an expiry date, may be revoked if abused, and may be applied before paid credits at our discretion.

6.4 Failed or Unsatisfactory AI Outputs

Wrong, unsatisfactory, low-quality, or unusable AI outputs are not grounds for a refund. The Service charges your wallet at the moment a generation is submitted, not on the basis of the visual or commercial quality of the result. The probabilistic nature of generative AI means some outputs will be unsatisfactory; this is part of the technology, not a defect of the Service.

In limited circumstances — for example, where the generation pipeline itself fails to produce any output due to a verifiable service-side error and not due to your input or to AI quality — we may, at our sole discretion and without obligation, restore the corresponding wallet credit.

6.5 Auto-Pay

You may opt in to "auto-pay", which authorises us to top up your wallet automatically using your saved payment method when your balance falls below a threshold you select, up to a ceiling we set for safety. You can disable auto-pay at any time. Successfully completed auto-pay charges are governed by Sections 6.2–6.4 above and are non-refundable.

6.6 Pricing Changes

Prices are shown inside the Service and may change. New prices apply to generations submitted after the change; existing wallet balances retain their face value.

6.7 Taxes

Prices are exclusive of any value-added or other applicable taxes unless otherwise stated. You are responsible for any taxes arising from your use of the Service that are not collected by us at the point of sale.

7. Your Content and Intellectual Property

7.1 Your Inputs

You retain all rights you have in the prompts, reference images, and other content you provide ("Your Content"). You grant us a worldwide, royalty-free, sub-licensable licence to host, store, transmit, modify, and process Your Content solely as needed to operate, secure, and improve the Service and to fulfil your generation requests.

7.2 Outputs

Subject to your compliance with these Terms and applicable law, you may use the images and videos generated by the Service ("Outputs") for personal and commercial purposes, including advertising and product photography. Because generative models are stochastic, identical or similar Outputs may be produced for others; we make no representation that any Output is unique to you.

7.3 Your Warranties

You represent and warrant that you own or have all necessary rights, licences, and consents to upload Your Content and to use any depicted persons, brands, or trademarks; that Your Content does not violate any law or third-party right; and that your use of the Outputs will not infringe any rights of others.

7.4 Our Marks

"InstaStudio", our logo, and all related branding are owned by us. These Terms do not grant you any right to use them.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INSTASTUDIO, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITY, OR REPUTATION, ARISING OUT OF OR RELATED TO THE SERVICE OR ANY OUTPUT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total cumulative liability for all claims arising out of or relating to the Service, however arising, will not exceed the greater of (a) the amount you paid us in the three (3) months immediately preceding the event giving rise to the claim, or (b) one hundred Saudi Riyals (SAR 100). Some jurisdictions do not allow certain liability limitations; in those jurisdictions our liability is limited to the maximum extent permitted by law.

9. Indemnification

You agree to defend, indemnify, and hold harmless InstaStudio, its affiliates, officers, employees, agents, suppliers, and licensors from any third-party claims, demands, damages, costs, or expenses (including reasonable legal fees) arising out of or related to (i) Your Content, (ii) your use or misuse of the Service or any Output, (iii) your breach of these Terms, or (iv) your violation of any law or third-party right.

10. Suspension and Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your account, with or without notice, for any breach of these Terms, suspected fraud, abuse, threats to platform security, or for any other reason permitted by law. Upon termination, unused wallet credits are forfeited and remain non-refundable, subject to applicable law.

11. Governing Law and Disputes

These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of the United Arab Emirates, without regard to conflict-of-law principles. The competent courts of Dubai, United Arab Emirates, shall have exclusive jurisdiction, except where mandatory local law requires otherwise.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via the Service or by email. The "Effective" date at the top reflects the most recent revision. Your continued use of the Service after that date constitutes acceptance of the updated Terms.

13. Miscellaneous

These Terms are the entire agreement between you and us concerning the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our prior written consent; we may assign freely.
